1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the SonixByte website at sonixbyte.com and the services we provide. By using our website, requesting a quote, or engaging us for a project, you agree to these Terms. If you do not agree with them, please do not use our website or services.

2. About Our Services

SonixByte is a software and digital agency. We provide web development, mobile app development, AI & automation, our WhatsApp AI Agent, digital marketing, AI content generation, and UI/UX design. The exact scope, deliverables, and price of any project are set out in a separate quote, proposal, or statement of work, which together with these Terms forms our agreement with you. If anything in a signed proposal conflicts with these Terms, the proposal takes precedence for that project.

3. Quotes, Proposals & Payments

Quotes and proposals are valid for 30 days from the date we issue them, unless we state otherwise. Larger projects are usually billed in milestones, and we may require a deposit before work begins. Payment is due by the dates set out in your invoice or proposal. Late payments may pause work on your project and, where applicable, incur reasonable late fees. All fees are exclusive of any taxes that may apply.

4. Client Responsibilities

To deliver great work on time, we rely on your cooperation. You agree to:

Provide accurate content, materials, and information we need to complete the work.
Give timely feedback and approvals at each stage of the project.
Grant any access or accounts we need, such as hosting, domains, or advertising platforms.
Ensure you have the right to use any content, logos, or materials you supply to us.

5. Project Timelines

Any timelines we share are good-faith estimates based on the agreed scope. Delays caused by late feedback, missing content, or changes to the scope may move the delivery date. We will keep you informed and work with you to stay on track wherever possible.

6. Intellectual Property

Once a project is paid for in full, you own the final deliverables we create specifically for you. We retain ownership of any pre-existing tools, frameworks, code libraries, and know-how we use to build them, and we grant you the right to use those elements as part of your deliverables. Unless we agree otherwise in writing, we may showcase completed work in our portfolio and marketing materials.

7. Third-Party Services and Licenses

Projects often depend on third-party services, for example web hosting, domain registration, the WhatsApp Business API, plugins, stock assets, or advertising platforms. You are responsible for maintaining your own accounts and for any fees, ad spend, or licence costs associated with them, unless we have agreed in writing to manage these on your behalf. Your use of third-party services is subject to their own terms.

8. Warranties and Disclaimers

We take pride in our work and will perform our services with reasonable skill and care. Beyond the specific scope we agree with you, our website and services are provided "as is" without further warranties of any kind. We cannot guarantee specific business outcomes, such as particular search rankings, traffic levels, sales, or advertising results, as these depend on many factors outside our control.

9. Limitation of Liability

To the fullest extent permitted by law, SonixByte will not be liable for any indirect, incidental, or consequential losses arising from your use of our website or services. Our total liability for any claim relating to a project will not exceed the amount you paid us for that project.

10. Confidentiality

Each party may receive confidential information from the other during a project. Both parties agree to keep such information private and to use it only for the purposes of the project. This does not apply to information that is already public, that becomes public through no fault of the receiving party, or that must be disclosed by law.

11. Termination

Either party may end a project by giving written notice if the other party materially breaches these Terms and does not resolve the issue within a reasonable period. If a project is terminated, you agree to pay for all work completed and any non-cancellable costs incurred up to the termination date.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which SonixByte operates, without regard to its conflict-of-law rules. Any disputes arising from these Terms or our services will be handled by the courts of that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of our website or services after changes take effect means you accept the updated Terms.
